Welcome to the Taking Stock Community!

What is Taking Stock?

Taking Stock is a weekly podcast focused on different financial topics, and always canted towards evaluating the investing landscape from a pro-retail and advocacy focused perspective. Taking Stock is hosted by members of the Direct Registration volunteer team which host the DRSGME.org and WhyDRS.org advocacy websites alongside this WhyNotDRS Lemmy instance.

What is Direct Registration?

Direct Registration is a method by which investors can choose to plan securities which they have purchased using a broker and at the market under their own name. By default, shares purchased are kept under the name of a central depository called Cede and Co rather than owned in the name of the investor. Direct Registration comes with various benefits such as having an easier time voting, submitting information to the company, preventing share lending without consent, and insulating from broker insolvency.

This week on Taking Stock, Chives was joined by John Wooten and together they welcomed open commentary from the community as they discussed the broader aims of WhyDRS and how best to actuate them. The intention to register as a non-profit 501c3 was discussed for the first time, and how that would help realize more potential for ownership advocacy to advance itself. Investors and issuers are self interested to seek a higher ratio of ownership, and the differences between communities are imagined walls. So much more can be accomplished through collective action and drive towards the development of a new market structure, of investors and for investors.

It is a vision that regards the financial empowerment of individuals not as a means to generate profit but as an end in itself. This perspective is inspired by the belief that true progress in financial democratization can only be achieved when the primary motive is the collective welfare of the community rather than individual or corporate gain.

This was just the first time broaching this topic, and we’re looking forward to bringing more people and more investor groups into the conversation.

This week on Taking Stock, Chives and 6days discussed some of the developing narratives in the ownership space. Billionaire attention has started to levy more towards short selling and market fairness, and specifically, Truth Social’s CEO has been bringing attention to the potential market abuse from market makers and encouraging shareholders to move shares to the transfer agent to hold in direct registration. At time of recording, they had released an 8K drawing attention to an update to their FAQ asking shareholders concerned with short selling to hold shares through the transfer agent. A few days later after this recording, they updated the FAQ page again to include the phrase DRS as well.

This week on Taking Stock, Chives was joined by 6days1week to talk in more detail about the community-gathered questions sent over to Computershare. A few days before the time of recording, the WhyDRS team was asked by Paul Conn to narrow the questions down. Chives and 6days discuss six of the questions that they found most important, and some of the possible answers to expect. In the show notes below the original set of questions plus the refined smaller list of questions will be linked.

This week on Taking Stock, Chives was joined by Lawson and 6days to discuss the idea of a record holder and what sort of requirements existed for annual reports such as the 10K. This topic came up because GameStop’s 2023 10K had recently released and the record holder information was missing. We reviewed the language and predicted we’d have to see an amendment within about 40 days – but as luck would have it, later in the evening after recording, the amendment was filed. Still a great conversation! Check the links below for relevant legal citation.

Taking Stock Ep24 - Tracking Direct Plan Purchases through Computershare

This week on Taking Stock, Chives was joined by 6days1week to talk about his efforts to track direct plan purchases made through Computershare. Investors have the option to buy directly through the transfer agent and can even set up recurring automatic buys to continue accumulating shares of companies they support. These purchases are executed in bulk at the market on a predictable schedule, a framework which could result in less than ideal outcomes for investors in terms of shares received per dollar invested. 6Days prepared some screenshots and graphs to assist in the conversation which are linked in the notes below.

Ep22 - Open Community Discussion Pt 2

This week on Taking Stock we continue the discussion from last week where community members joined and brought up any subject they liked. In this half, crypto and other scarce assets were discussed. John Wooten joined us to talk about his appearance at a recent crypto panel on the subject of investor protections, Chives shared his experience on early crypto lending platforms prior to regulatory oversight, and the group discussed how we can take advantage of new technology while also taking advantage of the century of regulation which can provide needed assistance to retail investors in a market of lopsided influence. TornadoCash and government regulation of open source technologies was also discussed, along with the for and against cases, and lastly John Wooten shared his perspective on the importance of having a central body which would be able to audit trading activity on a blockchain network to add to the discussion around financial regulations.

submitted 6 months ago by [email protected] to c/[email protected]

This week in recognition of the Valentine’s Day holiday, Bibic and Chives looked back at the history of the DRS advocacy efforts they have been part of these last two years. From DRSGME’s launch and ad campaigns to WhyDRS and meeting with Chairman Gary Gensler of the SEC it has been an incredible journey – and while we may spend this episode together looking back, every other day is spent looking forward.

After last weeks All About Plan discussion, the conversation ended up containing into our community segment where friend of the show John Wooten called in to expound on the broader issues which centralization of power and responsibility in the market have caused. We’re releasing this segment as a standalone episode because while it was not directly related to the main topic it absolutely was a great conversation worth sharing with our audience.

This week on Taking Stock, Chives sits down for a full one on one interview with John Wooten. John is a published author, has a series of financial education videos online, and founded BlockTransfer. BlockTransfer is an SEC approved Transfer Agent using a public blockchain called Stellar to track issuer ledgers and investor ownership.

Chives and John talk broadly about the various major issues which plague the modern capital markets, how a perverse incentive system separates working people from their wealth, and the archaic financial tradition which hasn't undergone major rethinking in thousands of years.

This conversation is a whirlwind and you won't want to miss it.

This week on Taking Stock, Chives and Bibic wrap up this historical miniseries by examining how the vision of the DTC came to fruition and how it impacted the markets at large and how it impacted every day working people. Beneficial ownership has been forced onto everyday investors. The SEC says it's a choice, but when was the last time DRS was offered to you when investing in a company?

Dematerialization and the transition to book-entry (otherwise known as an electronic record) are discussed, alongside the introduction of a new character in the story - The Direct Registration System.

This week on Taking Stock, Chives and Bibic continue looking back in time, but this week it's to The Great Paperwork Crisis of 1968, which led to the rationalization and birth of The Depository Trust (AKA The DTC). We look at why it made sense for the time, but how it is severely outdated today, and the impact that has on markets.

We also had a surprise special guest join us! John Wooten, founder of BlockTransfer, the first blockchain based transfer agent. We spoke to John about the ins and outs of how a blockchain based transfer agent works as well as a current SEC proposal that will enable API access to Edgar filings. This kind of access will allow developers to create apps to not only help with searching through the Edgar system, but to help make the filings as well.

We'll be having John back on in a future week on December 13th - mark your calendars! If you have any questions you'd like him to be asked, please leave them below.

This week on Taking Stock, Chives and Bibic take a trip back in time to the panic of 1907. A panic caused by wealthy people over leveraging themselves, leading to the public trying to take their money back from their respective banks. The same wealthy people that caused the panic decided they needed to protect themselves from future potential bank runs, this led to the creation of the Federal Reserve.

This week on Taking Stock, Chives and Bibic follow up from last week's SEC bulletin breakdown with a handy diagram that visualises the 3 different forms of digital shareholdings, and the various forms of ownership associated with them.

It's important to learn what distinguishes each form of holdings as well as each form of ownership from each other. For example, being a beneficial owner, and a registered owner isn't mutually exclusive. You can actually be both at the same time. Listen along or check out the links of ownership page linked below for more information.

We'll be pulling out the sources so you all can follow along with our logic and conclusions. The regulatory agencies, self regulating organizations, and the transfer agents are all on the same page about the difference in ownership between Plan and DRS. Let's get ourselves on that same page too!

Bill and Kevin are two of the larger community figures in our investing advocacy community and they shared their perspectives on dealing with online criticism, with seeking truth, with evaluating the SEC, and on the details of the Plan and Book designation distinctions. There was a lot of passion and a lot of wisdom on display here. It’s great being able to have these discussions, and to know we will always be able to have them on an open platform like Lemmy.

This week on Taking Stock, Chives and Bibic dove into the recently announced UK Taskforce's action proposal which seeks to explore feasible routes to full dematerialization of share certificates. Not all solutions are made equal, and the proposal's favorite solution involves forcing investors to hold through a centralized depository's nominee rather than holding for themselves and in their own name.

We had a great guest speaker Bellweirboy who joined the call in order to help make sure listeners understood the current impact of the proposal as written, and encouraged collective action through parliament and direct democracy for all UK natives. For everyone else, online comments can be submitted until September 25th 2023.
